1. Acceptance of Terms
By accessing or using the Numonic digital asset management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
2. Description of Service
Numonic provides a digital asset management platform designed for AI-generated content management across creative teams and campaigns. The Service includes features for content storage, organization, collaboration, and workflow automation.
3. Age Requirements
You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age. If you are under 18, you may not, under any circumstances, use the Service.
4. User Accounts
When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for:
- Maintaining the confidentiality of your account and password
- Restricting access to your computer and account
- All activities that occur under your account or password
5. User Content and Rights
Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.
By posting Content to the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service solely for the purpose of providing the Service to you.
6. Intellectual Property Rights
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Numonic and its licensors. The Service is protected by copyright, trademark, and other laws of the United Kingdom, European Union, and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
7. Prohibited Uses
You may not use our Service:
- For any unlawful purpose or in furtherance of illegal activities
- To violate any applicable international, federal, provincial, or state regulations, rules, laws, or local ordinances
- To infringe upon or violate our intellectual property rights or the intellectual property rights of others
- To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on protected characteristics
- To misrepresent your identity, affiliation, or authorization to use the Service
- To upload or transmit viruses or any other type of malicious code
- To collect or track the personal information of others without their consent
- To spam, phish, pharm, pretext, spider, crawl, or scrape
- To interfere with or circumvent the security features of the Service
- To attempt to gain unauthorized access to any portion of the Service or any other systems or networks
8. Data Protection and Privacy
We are committed to protecting your privacy and complying with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the EU General Data Protection Regulation (EU GDPR). 9. Subscription and Payment
Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis. Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select.
A valid payment method is required to process the payment for your subscription. You shall provide accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method information.
10. Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. In accordance with UK and EU consumer protection laws, you have the right to cancel your subscription within 14 days of purchase for a full refund, provided you have not extensively used the Service.
11. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Service or contact us at legal@numonic.ai.
12. Disclaimer
Your use of our Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Numonic, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.
14. Indemnification
You agree to defend, indemnify, and hold harmless Numonic and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).
15. Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
For users in the European Union, you also benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.
16. Dispute Resolution
In accordance with UK and EU consumer protection laws, we aim to resolve any disputes amicably. If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting us.
For EU consumers, you may also use the European Commission's Online Dispute Resolution platform available at https://ec.europa.eu/consumers/odr.
17. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
